Terms of Service

About Checkwright

Checkwright is provided by Connor Stanley, a sole trader trading as 1Keel ("we", "us", "our"), not a limited company. Because of that, Connor Stanley personally, not a company, is responsible for operating this business. These terms are between us and the business signing up to use the service ("you", "your", "the customer").

Acceptance of these terms

By creating an account or using Checkwright, you agree to these terms on behalf of the business you represent. If you don't have the authority to agree on that business's behalf, please don't create an account.

The service

Checkwright is a tool for producing, storing and submitting digital waste transfer notes, hazardous waste consignment notes, season tickets and related compliance documentation for UK waste carriers, skip hire operators and receiving sites.

Checkwright is a tool, not a guarantee of legal compliance. Using the service does not, by itself, guarantee that you meet your obligations under the Environmental Protection Act 1990, the Waste (England and Wales) Regulations, DEFRA's Digital Waste Tracking service, or any other applicable law. You remain solely responsible for your own regulatory compliance as a waste carrier, broker, dealer, producer or receiving site operator. We build the service to reflect these requirements as we understand them, and we keep it up to date as the law changes, but the responsibility for lawful operation of your business stays with you.

DEFRA submissions and regulatory deadlines

Where the service submits a waste receipt or transfer record to DEFRA's Digital Waste Tracking service on your behalf, it acts only as a technical facilitator of that submission. It does not take on, and does not relieve you of, the legal duty of care under the Environmental Protection Act 1990 or any other obligation that sits with you as the carrier, broker, dealer, producer, or permit or licence holder. Reporting accuracy, and meeting any statutory submission deadline (for example, DEFRA's current requirement that certain in-scope receipts be submitted within two working days of receipt), remain your responsibility, not ours.

This applies equally to data captured while offline. The service is built to work without a signal and to sync automatically once a connection is available, but if a device is left offline for longer than the time available to meet a deadline, meeting that deadline is still your responsibility. We do not guarantee that offline data will sync, or that a submission will reach DEFRA, within any particular timeframe, and we are not liable for regulatory consequences arising from a late or missed submission, except to the extent it results from our own negligence or breach of these terms.

Eligibility and accounts

Checkwright is provided for business use only, not for personal or household use. You are responsible for keeping your account credentials confidential and for all activity that happens under your account. Tell us straight away at [email protected] if you suspect unauthorised access.

Subscriptions, trials and billing

New accounts start with a 14-day free trial. No card details are required to start a trial, and nothing is charged during it.

After the trial, continued use requires an active subscription, billed monthly per user and collected by Direct Debit through GoCardless. Pricing in effect at the time is shown on our pricing page.

You can cancel at any time from your account's billing settings. Cancelling a trial or a subscription that is past due takes effect immediately, since nothing has been charged for the current period yet. Cancelling an active, paid subscription takes effect at the end of the period you've already paid for: your access and billing continue as normal until then, nothing further is charged, and nothing is refunded for the remainder of that period. Reactivating before the period ends undoes the cancellation.

Cancelling your subscription only stops billing, your organisation and its data are untouched and can be reactivated at any time. Deleting your organisation entirely is a separate, owner-only action described in our Privacy Policy, with its own confirmation and grace period.

We are not currently VAT-registered, so no VAT is added to the prices shown.

GoCardless will separately email you ahead of each Direct Debit collection and again once it completes, in addition to the invoice we issue for your own records. These are two different systems confirming the same payment, not a duplicate charge.

Your data and content

You own the data you put into Checkwright: your organisation's records, your customers' details, and the waste transfer documents you create. We process it on your behalf to provide the service, as described in our Privacy Policy.

You are responsible for the accuracy of the information you or your staff enter into the service, including waste descriptions, quantities, EWC codes and the details of the people and businesses involved in a movement. Checkwright transmits what you supply; it does not independently verify it.

Acceptable use

You agree not to:

  • use the service for any unlawful purpose, or to submit data you know to be false or misleading;
  • attempt to gain unauthorised access to the service, other accounts, or the infrastructure behind it;
  • reverse engineer, decompile, or attempt to extract the source code of the service, except to the extent the law gives you the right to do so despite this restriction;
  • resell, sublicense or provide the service to a third party as if it were your own; or
  • use the service in a way that places excessive or disproportionate load on it, or interferes with other customers' use of it.

Intellectual property

Checkwright, including its software, design and branding, is owned by us. Nothing in these terms transfers any of that ownership to you. We grant you a non-exclusive, non-transferable right to use the service for your business's own operations for as long as your subscription is active. You keep ownership of your own data, as set out above.

Confidentiality

Each party will keep the other's confidential information private and use it only to perform these terms, except where disclosure is required by law or by a regulator such as DEFRA.

Disclaimers

The service is provided "as is" and "as available". We aim for high reliability but do not promise the service will be uninterrupted, error-free, or available at all times. To the fullest extent the law allows, we exclude all warranties not expressly stated in these terms, including any implied warranty of satisfactory quality or fitness for a particular purpose.

Limitation of liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that the law does not allow us to limit or exclude.

Subject to that, our total liability to you arising out of or in connection with these terms, whether in contract, tort (including negligence) or otherwise, is limited to the total subscription fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for any indirect or consequential loss, or for loss of profits, revenue, contracts, or data, even if we were told such loss was possible.

We want to be straightforward about what this can and can't do: these terms can meaningfully limit what we owe you if something goes wrong, the same way any contract can. What they cannot do is give this business the protection a limited company has, where the company itself, not the person behind it, is normally the one liable. A sole trader has no such separate legal shield, so for anything these terms don't validly limit or exclude, we remain personally liable, the same as any sole trader does.

Indemnity

You agree to indemnify us against claims, losses, damages and reasonable costs arising from your breach of these terms, your misuse of the service, or data you submit through the service that you knew, or should reasonably have known, to be false, misleading or unlawful.

Termination

Either party may end these terms as described in "Subscriptions, trials and billing" above. We may also suspend or end your access if you materially breach these terms and don't fix the breach within a reasonable time of us telling you about it, or immediately if the breach involves unlawful use of the service.

Changes to these terms

We may update these terms as the service changes. If we make a material change, we will update the "last updated" date above and, where appropriate, let existing customers know directly.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
